Terms of Service

These Terms govern your use of GovPrimer. They cover your account, acceptable use, free and paid subscriptions, and an important point: the public government data we surface is provided as is, and you should verify it against the authoritative source before relying on it.

1. Acceptance of these terms

These Terms of Service (“Terms”) are a binding agreement between you and GovPrimer (“GovPrimer,” “we,” “us,” or “our”) governing your access to and use of our website, applications, and government contracting intelligence and capture platform (collectively, the “Service”).

By creating an account, accessing, or using the Service, you agree to these Terms and to our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and “you” refers to that organization. If you do not agree, do not use the Service.

2. Eligibility

The Service is intended for businesses and professionals. You must be at least 16 years old and capable of forming a binding contract to use the Service. By using the Service, you represent that you meet these requirements and that you are not barred from using the Service under applicable law.

3. Accounts and security

To use most features, you must create an account and provide accurate, current information. You are responsible for:

  • Maintaining the confidentiality of your login credentials and any API keys.
  • All activity that occurs under your account, whether or not authorized by you.
  • Notifying us promptly at hello@govprimer.com if you suspect unauthorized access or any security breach.
  • Ensuring that anyone you invite to a team or organization workspace also complies with these Terms.

We may suspend or disable accounts that we reasonably believe have been compromised, or that violate these Terms.

4. Acceptable use

You agree not to misuse the Service. You will not, and will not permit anyone else to:

  • Scrape, harvest, crawl, or systematically extract data from the Service except through features or APIs we provide, or in violation of any rate limits or plan limits.
  • Resell, sublicense, or redistribute the Service or its data in a way that competes with GovPrimer, except as expressly permitted by your plan.
  • Reverse engineer, decompile, or attempt to derive the source code of the Service, except where such restriction is prohibited by law.
  • Probe, scan, or test the vulnerability of the Service, or breach or circumvent any security or authentication measures.
  • Interfere with or disrupt the Service, introduce malware, or place an unreasonable load on our infrastructure.
  • Use the Service to violate any law or regulation, infringe intellectual-property or privacy rights, or send spam or unlawful communications.
  • Misrepresent your identity or affiliation, or use the Service to harass, defraud, or harm others.

We may investigate suspected violations and may suspend or terminate access for conduct that we reasonably believe violates these Terms or harms the Service, other users, or third parties.

5. Subscriptions and billing

GovPrimer offers a free plan and paid subscription plans (currently free, then Launchpad at $24/mo (or $240/year) and Pro at $29/mo, with Team and Enterprise tiers). Pricing and plan details are described on our pricing page and may change over time.

  • Free plan — the free plan is offered at no charge and may be subject to usage limits. We may modify or discontinue free features, but we will provide reasonable notice of material changes.
  • Paid plans — paid subscriptions are billed in advance on a recurring monthly or annual basis through our third-party payment processor. By subscribing, you authorize us to charge your payment method for the applicable fees and taxes until you cancel.
  • Renewals — subscriptions renew automatically at the end of each billing period at the then-current price unless you cancel before the renewal date.
  • Cancellation — you may cancel at any time from your account settings. Cancellation takes effect at the end of the current billing period, and you retain access until then.
  • Refunds — except where required by law, fees are non-refundable, including for partial billing periods and unused features.
  • Price changes — we may change subscription prices. We will give advance notice of price increases, and changes take effect on your next renewal after the notice period.
  • Taxes — fees are exclusive of taxes, and you are responsible for any applicable sales, use, VAT, or similar taxes.

If a payment fails, we may retry the charge and suspend paid features until payment is resolved. You are responsible for keeping your billing information current.

6. Data and public-data disclaimer

The Service organizes and presents information from official, publicly available government sources, including SAM.gov, USAspending.gov, Grants.gov, and the Federal Procurement Data System (FPDS), together with insights and tools we build on top of that data.

This public government data is provided to you “as is.” GovPrimer does not control, author, or guarantee the source data and makes no warranty that opportunities, awards, agency information, deadlines, or any other public data shown in the Service are complete, accurate, current, or free of errors. Government sources change, contain gaps, and may be delayed or revised.

You are responsible for verifying any information independently — including against the authoritative government source — before relying on it to make business, bid, or compliance decisions. AI-generated insights, fit scores, and summaries are aids, not professional, legal, or contracting advice, and may contain errors. Nothing in the Service guarantees that you will find, qualify for, or win any contract.

7. Your content

The Service lets you create and store content such as saved searches, notes, tags, pipeline records, and team data (“Your Content”). You retain all rights to Your Content.

You grant us a limited, worldwide, non-exclusive license to host, store, process, and display Your Content solely to operate, secure, and improve the Service and to provide it to you and your authorized team members. You are responsible for Your Content and for ensuring you have the rights necessary to submit it.

8. Intellectual property

The Service, including its software, design, user interface, text, compilations of data, branding, and all related intellectual-property rights, is owned by GovPrimer or our licensors and is protected by intellectual-property laws. Public government data itself is not owned by us; our rights cover the Service and our original compilations, analysis, and software.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes. We reserve all rights not expressly granted. The GovPrimer name and logo are our trademarks and may not be used without our prior written permission.

9. Feedback

If you send us suggestions, ideas, or feedback about the Service, you grant us a perpetual, irrevocable, royalty-free license to use it for any purpose without obligation or compensation to you.

10. Third-party services and links

The Service may integrate with or link to third-party services, including government data sources and tools such as payment processing, single sign-on, and automation integrations. Those services are governed by their own terms and privacy policies, and we are not responsible for them. Your use of third-party services is at your own risk.

11. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access to the Service, with or without notice, if you violate these Terms, if required by law, or if we discontinue the Service.

Upon termination, your right to use the Service ends and we may delete Your Content in accordance with our data-retention practices. Sections that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, and governing law — will survive.

12. Disclaimers

THE SERVICE AND ALL DATA AND CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, secure, error-free, or that any data, opportunity, or insight is accurate, complete, or suitable for your purposes. To the maximum extent permitted by law, you use the Service and rely on its data at your own risk.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FEDSCOUT AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES — INCLUDING LOST CONTRACTS OR BIDS — ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THESE LIMITS MAY NOT APPLY TO YOU.

14. Indemnification

You agree to indemnify and hold harmless GovPrimer and its affiliates from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Service, Your Content, or your violation of these Terms or applicable law.

15. Changes to the Service and these Terms

We may modify, add, or discontinue features of the Service at any time. We may also update these Terms from time to time. When we make material changes, we will revise the “Effective date” above and provide reasonable notice, such as by email or an in-product notice. Your continued use of the Service after changes take effect means you accept the revised Terms. If you do not agree, you must stop using the Service.

16. Governing law and disputes

These Terms are governed by the laws of the State of [State], United States, without regard to its conflict-of-laws rules. You and GovPrimer agree that any dispute arising out of or relating to these Terms or the Service will be resolved exclusively in the state or federal courts located in [County, State], and you consent to the personal jurisdiction of those courts, except where applicable law provides otherwise.

17. General

  • Entire agreement — these Terms and the Privacy Policy are the entire agreement between you and GovPrimer regarding the Service and supersede prior agreements on the subject.
  • Severability — if any provision is found unenforceable, the remaining provisions remain in effect.
  • No waiver — our failure to enforce a provision is not a waiver of our right to do so later.
  • Assignment — you may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
  • Force majeure — we are not liable for delays or failures caused by events beyond our reasonable control.
